Versatile and dynamic board member and C-Suite executive holding leadership positions in small to large-cap publicly traded companies, early stage privately held companies spanning healthcare, retail and technology as well as international non-profit organizations. Denise serves on the Board of Tractor Supply Company, the country’s largest rural lifestyle retailer and a Fortune 300 company where she is the Chairperson of the Tractor Supply Nominating and Governance Committee, a member of the Compensation and Human Capital Committee and a former member of the Audit Committee. Tractor Supply has experienced significant growth over the past five years with revenues reaching ~$15B, a market cap of ~$30B, over 2500 stores and 50,000 employees. During Denise’s tenure as Committee Chair, Tractor Supply’s Corporate Governance and Nominating Committee has led the successful and planned Board refreshment and Board leadership rotation. The Tractor Supply Board and Management have navigated a fluid external environment and increased shareholder value while staying true to its mission and values. The Tractor Supply Board has been named as the Best Board in Retail by Institutional Investor and has been recognized for its diversity.
Objectivity, keen business insights, humility, curiosity and Denise’s composure and purpose-driven leadership in times of growth, transition and crisis, bring crucial perspective and character to the boardroom. Customer focus and business sensibilities derived from Denise’s executive operational leadership experience in Risk Management, ESG, Human Resources and Customer Service combined with her Governance, Legal, Compliance, Government Affairs and M&A expertise make her an impactful board member, particularly as an organization grows and scales. Her broad, multi-functional background across enterprises, industries and market and company transitions and fierce commitment to stakeholders produce a versatile board member that adds value to the boardroom today and into the future.
Prior to her election to the Tractor Supply Board, Denise served as a director of PipelineRx, an early stage telepharmacy technology and services company, where she was Chairperson of its Compensation Committee. Denise also served as the Board Chair of Girls on the Run International, a multimillion- dollar non-profit youth development organization, reaching over 2.5 million girls and their families.
As a C-Suite executive at AMN Healthcare, Denise, with her colleagues, shaped and executed the strategy and cultivated the culture, that propelled transformational growth from a $250M privately-held nurse staffing company to the nation’s largest publicly-traded diversified workforce management and technology organization with annual revenues reaching ~$5B with over 15,000 corporate employees and healthcare professionals. As the Chief Legal Officer and Corporate Secretary, Denise served as a trusted advisor to the AMN Healthcare Board of Directors through its IPO and secondary offerings, CEO and director transitions, shareholder engagements and M&A for over 20 years.
Denise spent five years with The Mills Corporation, a NYSE-traded REIT (acquired by Simon Property Group), serving as Vice President and Senior Counsel heading the Legal function for operating shopping centers after several years in private practice with a well recognized law firm focusing on real estate, litigation and corporate reorganizations.
Leadership positions with the Women Corporate Directors Foundation on the Corporate Governance Steering Committee and as the former Chairperson of Women Corporate Directors – San Diego Chapter fuel Denise’s passion for the development of female leaders.
Denise holds a Juris Doctorate degree from the University of Arizona, a Master of Public Health from The George Washington University and a Bachelor of Science from the University of Arizona. She is licensed (inactive/retired) as an attorney in California, the District of Columbia, Arizona and New York.
Denise enjoys an endurance-sports lifestyle and has competed in numerous Ironman triathlons, countless marathons, century rides and multi-day hikes.
